1. Acceptance of Terms
By accessing or using CPApex ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
CPApex is a cloud-based practice management platform designed for CPA and accounting firms. The Service includes modules for client management, invoicing, time tracking, document storage, deadline management, and related features.
3. Account Registration
You must register for an account to use CPApex. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity under your account.
4. Subscription and Billing
CPApex offers subscription plans billed on a monthly or annual basis. Fees are charged in advance. You may cancel at any time; cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods unless required by law.
5. Free Trial
CPApex may offer a free trial period. At the end of the trial, you must select a paid plan to continue using the Service. We reserve the right to modify or discontinue trial offers at any time.
6. Data Ownership
You retain ownership of all data you input into CPApex ("Your Data"). CPApex does not sell Your Data. We process Your Data solely to provide the Service as described in our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Transmit malicious code, viruses, or harmful content
- Reverse engineer, decompile, or disassemble the Service
- Resell or sublicense access to the Service without written permission
8. Intellectual Property
CPApex and its licensors own all intellectual property rights in the Service, including software, trademarks, and documentation. These Terms do not grant you any rights to use CPApex's trademarks or intellectual property beyond what is necessary to use the Service.
9. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information disclosed in connection with these Terms, and to use such information only for the purposes of performing obligations under these Terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CPAPEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CPAPEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPAPEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. CPAPEX'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Termination
Either party may terminate these Terms at any time. CPApex may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and CPApex may delete your data after a 30-day retention period.
13. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Virginia.
14. Changes to Terms
CPApex reserves the right to update these Terms at any time. We will notify you of material changes at least 30 days in advance via email or in-app notice. Continued use of the Service after changes constitutes acceptance.
